The following Memorandum and Article of Association shall be subject to, and governed by, the Society Registration Act 1961 and the Articles of Incorporation of Heroes for All. In the event of a direct conflict between the herein contained provisions of these ByLaws and the mandatory provision of the district, the Society Act shall be the prevailing controlling law. In the direct conflict between the provisions of these Bylaws and the Articles of Incorporation, it shall then be these Bylaws which will be controlling.

1. NAME : The legal name of this Society “Heroes for All.” Abbreviated in HFA.

2. ADDRESS : The principle office location of Heroes for All shall be located in 40/4 Al-Amin Road, Green-Road, Dhaka 1205. The organization may have any number of offices at such places as the Board may determine based on the growth and demand

3. NATURE OF THE SOCIETY : It is a non-profitable, non-political, and charitable organization.

4. OPERATIONAL AREA : Operational area of the society will be primarily Dhaka and the adjacent areas. In the future it may spread all over Bangladesh as resources permits and decision made by the Executive committee.

5. MISSION AND OBJECTIVES :

5.1 The Mission Statement of the organization is as the following :

The mission of “Heroes for All” is to build an inclusive platform for the youth population to build them as socially attuned, empathetic, cultural minded, morally responsible and informed global citizen who would rise up to their fullest potential by building a purposeful life through active civic engagement, cross-cultural collaborative initiatives among peers and organizations, and making positive leisure choices.

5.2 Major objectives of the Foundation are stated below :

=> All Programs will focus on youth development under the domains of individual, community and global awareness. The organization will build a common platform with interested individuals, organizations and community members who would work together to build a supportive environment of positive growth to help the youth reach their true potential.

=> Develop programs that instill leadership so that youth population can emerge as a positive force of change in their respected commuitnities.

=> Develop collaborative inclusive recreational and educational programs for marginalized and disabled children and youth population promoting competent and caring citizen.

=> To maximize the positive impact on the age group 13 to 25---- the organization may collaborate with other Non-Profit organization and educational institutes which strive to positively impact the lives of children and youth in Bangladesh.

=> To build awareness on the positive use of leisure time that can foster self-expression, development of identity, feeling a sense of autonomy and sense of achievement.

=> Per the discretion of the board----the organization will also open up scopes for internship, action research and volunteering with the universities and schools that will allow the youth to be involved and have a chance to make positive impact for change.

=> To organize fundraising event for funding programs.

=> To develop and publish educational books, literatures, and other relevant information, educational and communication materials that can help the kids and youth to be creative, innovative and motivated to be transformative leaders.

No substantial part of the activities of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. The organization will not engaged in any activities that can hurt the sovereignty of the country.
